CounselFlow is a boutique business law firm in downtown Toronto, founded in 2019 for the companies that make the GTA work: founder-led, owner-operated, and too busy building to think about law — until they can’t afford not to.
How we think about this work
Legal advice for a growing business should do two things: solve the problem in front of you, and leave you less exposed to the next one. Too often businesses get one or neither.
We keep the firm deliberately small so that the lawyer who advises you is the lawyer who knows your contracts, your shareholders, and your history. Plain language, written estimates, and direct access to a trusted advisor shape this fictional firm concept.
Our three core practices — corporate law, contracts, and commercial disputes — cover the overwhelming majority of what owner-operated businesses face. Real estate, employment, and private client work round it out.

Margaret Ellison
Managing Partner
Margaret founded CounselFlow after 14 years at two Bay Street firms, where she led corporate transactions for owner-operated businesses. She advises founders and boards on structuring, growth, and exit strategy, and still handles every major file personally.
Daniel Okafor
Senior Associate
Daniel represents businesses in commercial disputes across Ontario courts, tribunals, and mediation. Before joining CounselFlow he clerked at the Ontario Superior Court and practised civil litigation at a mid-size Toronto firm.
Sophie Tremblay
Associate
Sophie drafts and negotiates the agreements clients run on — supply contracts, employment agreements, and commercial leases. She is known for plain-language drafting and fast, practical turnaround on reviews.
